Terms of Service

These Terms of Service ("Terms") govern your use of the Nuvelo Labs website at nuvelolabs.com and any services provided by Nuvelo Labs ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. About Nuvelo Labs

Nuvelo Labs is an AI automation consulting business incorporated in Ontario, Canada, based in Kitchener-Waterloo. We provide AI chatbot setup, lead follow-up automation, reputation management, workflow automation, and related consulting services to small and medium-sized businesses in Ontario and across Canada.

2. Services

Nuvelo Labs offers the following service categories:

Specific deliverables, timelines, and terms for each engagement are outlined in a separate Service Agreement provided prior to commencement of work.

3. Retainer Terms and Cancellation

All monthly retainer plans require a minimum commitment of three (3) months from the date of onboarding. After the initial three-month period, retainer agreements may be cancelled by either party with thirty (30) days written notice sent to support@nuvelolabs.com.

Early cancellation within the initial three-month period will result in the remaining balance of the three-month commitment becoming due.

The one-time onboarding fee is non-refundable once onboarding has commenced.

4. Payment

All fees are quoted and charged in Canadian dollars (CAD) plus applicable taxes. Payment terms are specified in the Service Agreement. Overdue invoices may result in suspension of services. Nuvelo Labs reserves the right to update pricing with thirty (30) days notice to existing clients.

5. Demo Sites

Nuvelo Labs operates interactive demo websites to demonstrate our AI capabilities. These demos are provided for illustrative purposes only. Any business names, contact details, or data pre-loaded into demos are fictional examples used solely to demonstrate system functionality. Demo sites do not represent actual client deployments or imply any business relationship. Visitors interact with demo chatbots at their own discretion; information entered into demos is not stored or used for any purpose beyond the immediate demo session.

6. No Guarantee of Results

While we are committed to delivering high-quality AI systems and have confidence in our methods, Nuvelo Labs does not guarantee specific business outcomes, lead volumes, revenue increases, or Google review counts. Results vary based on factors outside our control including industry, market conditions, client follow-through, and the quality of existing business operations. Our 90-day results guarantee (available on the Scale plan) is subject to the specific terms outlined in your Service Agreement.

8. Intellectual Property

Upon full payment, clients own the specific AI systems and automations built for their business. Nuvelo Labs retains ownership of its proprietary methodologies, frameworks, prompt architectures, and reusable system components. Nothing in these Terms transfers ownership of Nuvelo Labs' underlying technology or intellectual property to clients.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the engagement. Nuvelo Labs will not disclose client business information to third parties except as required to deliver the services (e.g., configuring third-party tools on behalf of the client) or as required by law.

10. Limitation of Liability

To the maximum extent permitted by applicable Ontario law, Nuvelo Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website. Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you to Nuvelo Labs in the three (3) months preceding the claim.

11. Third-Party Tools and Platforms

Our services may involve configuring or integrating third-party tools (including but not limited to third-party AI, automation, chatbot, and CRM platforms). Nuvelo Labs is not responsible for the availability, performance, pricing changes, or terms of service of third-party platforms. Any costs associated with third-party platform subscriptions are the client's responsibility unless otherwise agreed in writing.

12. Website Use

You agree not to use our website for any unlawful purpose or in a way that could damage, disable, or impair the site. You may not attempt to gain unauthorized access to any part of our website or systems. All website content including text, design, and code is the property of Nuvelo Labs and may not be reproduced without written permission.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

14. Changes to These Terms

We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
